Contents
These Terms and Conditions ("Terms") govern access to and use of the Veterinary Peptide Sciences platform, website, and all products and services offered by Veterinary Peptide Sciences ("VPS," "we," "our," or "us"). By submitting an application for account access, logging into the VPS portal, or placing an order, you ("Licensee," "you," or "your") agree to be bound by these Terms in their entirety.
Please read these Terms carefully. If you do not agree to all provisions herein, do not access or use the VPS platform or products.
Eligibility & Access

Access to the VPS platform and the purchase of VPS products is restricted exclusively to licensed veterinary professionals and authorized staff operating under the direct supervision of a licensed veterinarian holding a current, valid license in their state of practice.
By submitting an application, you represent and warrant that:
- You hold a current, valid veterinary license in your state of licensure;
- Your license is in good standing with no pending disciplinary action;
- All information submitted in your application is true, accurate, and complete;
- You have the authority to bind your practice to these Terms; and
- You will promptly notify VPS if any of the above ceases to be true.
VPS reserves the right to verify credentials at any time and to deny or revoke access at its sole discretion. Submission of false or misleading information in your application may result in immediate account termination and may be reported to appropriate licensing authorities.
Professional Use Only

All products sold by VPS are intended solely for use by or under the direct supervision of licensed veterinary professionals in a professional practice context. You agree that you will not:
- Resell, redistribute, or transfer any VPS product to any unlicensed individual or entity;
- Market or represent VPS products as FDA-approved, compounded, or finished drug products;
- Use or allow VPS products to be used for any purpose inconsistent with these Terms or applicable law;
- Share portal credentials or allow unauthorized individuals to access your account.
The ordering licensed veterinarian assumes full clinical, ethical, and legal responsibility for all decisions regarding the acquisition, storage, handling, and application of VPS products in their practice.
VPS supplies research-grade materials to licensed professionals. All clinical decisions — including patient selection, dosing, route of administration, and outcome monitoring — remain solely within the professional discretion of the treating veterinarian.
Regulatory Compliance

All VPS products are manufactured and supplied as research-grade materials for use by licensed veterinary professionals. These products have not been evaluated or approved by the U.S. Food and Drug Administration (FDA) for the diagnosis, treatment, cure, or prevention of any disease or condition in animals or humans. VPS is not a compounding pharmacy and does not operate as one.
The regulatory landscape governing veterinary peptide use is nuanced and subject to change. You agree to:
- Remain independently informed of and compliant with all applicable federal, state, and local laws and regulations governing veterinary practice and the use of research materials;
- Consult with qualified legal counsel regarding your specific practice jurisdiction before ordering or using VPS products;
- Ensure that your use of VPS products complies with all applicable state veterinary practice acts and board regulations; and
- Immediately cease ordering if you become aware of any legal prohibition applicable to your practice or jurisdiction.
VPS makes no representation that its products are legal for use in any specific jurisdiction or application, and acceptance of these Terms does not constitute legal advice. Compliance is the sole responsibility of the ordering professional.
Account Responsibility

You are responsible for maintaining the strict confidentiality of your account credentials. You agree not to share your login credentials with any third party. All activity conducted through your account is deemed to be your activity and your responsibility, regardless of who actually performed it.
You agree to notify VPS immediately upon becoming aware of any unauthorized access to or use of your account. VPS will not be liable for any losses arising from your failure to maintain credential security.
VPS reserves the right to suspend or permanently terminate accounts upon reasonable suspicion of: credential sharing, fraudulent activity, misrepresentation of licensure, violation of any provision of these Terms, or conduct that VPS reasonably determines to be inconsistent with the professional standards expected of licensed veterinarians.
Custom Labeling

VPS offers custom private-label vials printed with your practice name and phone number as a service to its licensed professional customers. By requesting custom-labeled products, you:
- Confirm that all practice information submitted is accurate, current, and belongs to a licensed veterinary practice;
- Authorize VPS to print and apply labels bearing your practice information to ordered products;
- Accept sole responsibility for any errors in label information resulting from inaccurate submissions; and
- Agree that labeled products are not to be represented to clients as proprietary formulations manufactured by your practice.
VPS is not responsible for label errors caused by incorrect, outdated, or misspelled information provided by the Licensee. Label corrections resulting from Licensee error may be subject to additional charges.
Orders & Payment

All orders are subject to acceptance by VPS. VPS reserves the right to refuse or cancel any order for any reason, including but not limited to product unavailability, suspected fraudulent activity, or account issues.
Prices listed on the VPS portal are in U.S. dollars and are subject to change without prior notice. The price in effect at the time of order confirmation is the price that applies to that order. Orders are not binding until confirmed by VPS.
Payment is due at the time of order placement unless a credit account has been separately established in writing. VPS reserves the right to require prepayment or alternative payment arrangements for any order. Accounts past due may be suspended pending resolution.
Applicable taxes, where required by law, will be added to your order. You are responsible for any applicable sales, use, or excise taxes imposed by your jurisdiction.
Product Quality & Documentation

VPS is committed to supplying research-grade peptides that meet defined purity and quality specifications. All products are independently verified by third-party laboratories and are supplied with a Certificate of Analysis (COA) confirming identity and purity at the batch level.
Each order includes:
- A batch-specific Certificate of Analysis (COA) confirming purity of 99% or greater;
- Endotoxin test results for the applicable batch; and
- Batch traceability information for practice recordkeeping.
VPS makes no warranty beyond those expressly stated herein. The COA reflects the specification of the product at the time of manufacture and testing and does not guarantee any clinical outcome, efficacy, or fitness for any particular purpose.
All products are for laboratory research use only. No VPS product is represented as a finished drug product, and no clinical claims are made or implied.
Shipping & Fulfillment

VPS ships to licensed veterinary practices within the United States. Shipping address must correspond to the licensed practice address on file. VPS does not ship to residential addresses.
Orders placed before 2:00 PM Eastern Time on business days are typically fulfilled within one business day, subject to product availability. VPS is not responsible for delays caused by carriers, weather, holidays, or circumstances beyond VPS's reasonable control.
Risk of loss and title for products pass to Licensee upon delivery to the carrier. If a shipment is lost or damaged in transit, Licensee must notify VPS within five (5) business days of the expected delivery date. VPS will cooperate with carrier claims but does not guarantee replacement or refund for carrier-caused losses.
Products requiring cold-chain handling will be shipped with appropriate packaging. Licensee is responsible for proper storage upon receipt in accordance with the handling instructions provided with each shipment.
Returns & Order Resolution

Due to the nature of research-grade biological materials, VPS does not accept returns of opened products. Unopened products may be eligible for return within five (5) business days of delivery if the product is in its original, uncompromised packaging and if written authorization has been provided by VPS in advance.
If you believe you have received a product that does not conform to its COA specification, you must notify VPS in writing within five (5) business days of receipt with a description of the alleged non-conformance and any supporting documentation. VPS will investigate and, if a non-conformance is confirmed, will issue a replacement product or credit at its discretion.
VPS is not responsible for products that are improperly stored, handled, reconstituted, or used after delivery. Claims arising from post-delivery mishandling will not be honored.
Intellectual Property

All content on the VPS platform — including but not limited to the Bond Mark logo, product names, educational materials, protocols, website design, and documentation — is the exclusive intellectual property of Veterinary Peptide Sciences or its licensors and is protected by applicable copyright, trademark, and trade dress laws.
Your account grants you a limited, non-exclusive, non-transferable license to access and use the VPS platform solely for the purpose of purchasing and obtaining information about VPS products for use in your licensed practice. No other right or license is granted.
You may not reproduce, distribute, modify, create derivative works from, or use any VPS intellectual property for commercial purposes without express written consent from VPS.
Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, VPS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING BUT NOT LIMITED TO LOSS OF REVENUE, LOSS OF DATA, LOSS OF GOODWILL, LOST PROFITS, OR COSTS OF SUBSTITUTE PRODUCTS OR SERVICES — ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF VPS PRODUCTS OR THIS PLATFORM, EVEN IF VPS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
VPS's total cumulative liability to you for any and all claims arising out of or related to these Terms or your use of VPS products shall not exceed the total amount paid by you to VPS in the ninety (90) days immediately preceding the event giving rise to the claim.
VPS supplies research-grade materials to licensed professionals. All clinical decisions — including patient selection, dosing, administration, and outcome monitoring — are made solely at the professional discretion of the ordering veterinarian. VPS assumes no liability for clinical outcomes, adverse events, or consequences arising from the professional application of any product. The ordering veterinarian assumes full clinical and legal responsibility for all use.
Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, VPS's liability shall be limited to the maximum extent permitted by law.
Indemnification

You agree to indemnify, defend, and hold harmless VPS and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
- Your breach of any provision of these Terms;
- Your misrepresentation of your licensure status or practice information;
- Your use or misuse of VPS products, including any clinical application;
- Any claim by a third party (including patients or clients) arising from your use of VPS products; or
- Your violation of any applicable federal, state, or local law or regulation.
Governing Law & Dispute Resolution

The governing law, arbitration body, and venue are placeholders. Your attorney should specify the appropriate jurisdiction and dispute resolution mechanism.
All products are for laboratory research use only. No VPS product is represented as a finished drug product, and no clinical claims are made or implied.
Modifications & Termination

VPS reserves the right to modify these Terms at any time. Material modifications will be communicated to account holders via the email address on file at least fourteen (14) days before taking effect. Your continued use of the VPS platform following notice of a modification constitutes acceptance of the revised Terms.
VPS may suspend or terminate your account access at any time, with or without cause. Upon termination, your right to access the platform and order products ceases immediately. Sections that by their nature should survive termination — including Sections 2, 3, 10, 11, 12, and 13 — shall survive.
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. These Terms, together with any written credit or pricing agreements, constitute the entire agreement between you and VPS with respect to your use of the platform and purchase of products, superseding all prior agreements and understandings.
